Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and ConflictScore ("we", "us", "our"), operated by [COMPANY LEGAL ENTITY], governing your access to and use of the ConflictScore website, scores, data feeds, API, embeddable badge, and related features (collectively, the "Service").

By creating an account, subscribing to a plan, or otherwise using the Service, you accept these Terms, together with our Privacy Policy and our Disclaimer, each of which is incorporated into these Terms by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

Definitions

• "Conflict Score" — the 0–100 analytic score we assign to a disclosed congressional trade using our published methodology.
• "Filing Data" — financial disclosure filings and related records published by government sources, including the U.S. House Clerk, the U.S. Senate, the SEC (EDGAR), and congress.gov.
• "Analysis" — everything we derive from Filing Data: scores, tiers, reasoning text, issuer and ticker mappings, alerts, backtests, and datasets.
• "Subscription" — a paid Plus, Pro, or API plan. The "Free tier" is the no-cost access level.
• "Third-Party Services" — Stripe, Supabase, Resend, and any other third-party providers we use to operate the Service.

Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to create an account or use paid features. The Service is not intended for, directed to, or made available to minors, and we do not knowingly provide it to anyone under 18.

Accounts created by persons under 18 are unauthorized, may be suspended without notice, and no fees paid in connection with them will be refunded. By using the Service you also represent that you are not barred from receiving the Service under applicable law, including sanctions and export-control laws.

Accounts and security

Registration requires a valid email address. Sign-in uses passwordless email one-time codes — we never store passwords — so the security of your account depends on the security of your email inbox.

You are responsible for all activity that occurs under your account, for keeping your email account secure, and for notifying us immediately of any unauthorized use at [LEGAL_EMAIL]. Accounts are personal and may not be shared; providing multi-user access through one account is a breach of these Terms.

We may suspend or terminate an account that provides inaccurate information, is shared, or shows signs of compromise.

Subscriptions and billing

Paid plans (Plus, Pro, API) are billed monthly in advance through our payment processor, Stripe. Subscriptions automatically renew at the end of each billing period unless cancelled before it ends.

We never collect or store your payment card number: card data is captured, tokenized, and stored by Stripe, and we receive only a reference to your Stripe customer record.

If a payment fails, your account may be marked past due and paid features may be suspended until it is resolved. Prices exclude taxes unless stated otherwise; you are responsible for applicable taxes. We will give at least 30 days’ notice before any price change takes effect at your next renewal.

Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current billing period. You can manage, change, or cancel your plan at any time from the billing portal on your account page.

Plan terms — Free, Plus, Pro, and API

Each plan includes the features described on our pricing page. In addition, the following terms apply:

• Free tier — provided as-is for personal, non-commercial use. We may throttle, cap, or change free features at any time.
• Plus — full scoring reasoning, the complete trade archive with no page limit, a watchlist with score-threshold alerts (delivered in your in-account alert feed), a pinned home-district representative, saved filter views on the trade feed, and member score-history graphs, for one user.
• Pro — everything in Plus, plus peer comparison across members who share a committee, custom backtesting controls (arbitrary date ranges and score thresholds), full-text search over filing text, and printable per-member report cards, for one user.
• API tier — programmatic access to Analysis using API keys we issue. Rate limits: 60 requests per minute and 50,000 requests per month (provisional — the limits documented on your API page control). API output is licensed for your internal use only: you may not redistribute, resell, sublicense, or publicly republish Filing Data or Analysis retrieved through the API without a separate written commercial license from us.
• Embeddable badge — where we make an embeddable score badge available, you must display it with its "Powered by ConflictScore" attribution and link intact and unmodified, and may not present it in any way that suggests we endorse you or your content.

Bulk export, systematic copying, or republication of Analysis — whether manual or automated — is governed by the same restrictions as API output.

Acceptable use

You agree not to:

• Scrape, crawl, harvest, or systematically extract content or Analysis from the Service, or circumvent rate limits, paywalls, or technical controls.
• Reverse engineer the Service or attempt to recreate our scoring methodology as a competing product, except to the extent applicable law allows and the restriction is unenforceable.
• Resell, sublicense, or redistribute our Analysis — including republishing scores, reasoning, or derived datasets as your own research product, feed, or app — without our written commercial license.
• Use automation (bots, scripts, headless browsers, multiple or disposable accounts) to abuse Free-tier limits or evade paid-plan requirements.
• Present our Analysis as financial, investment, legal, or tax advice, or as an official statement about any individual, or strip the attribution and context that accompany it.
• Use the Service for any unlawful purpose, to infringe anyone’s rights, or to interfere with the Service’s infrastructure or other users’ enjoyment of it.

We may investigate suspected violations and suspend or terminate access, and where warranted, report unlawful activity.

Intellectual property

The Service — including our software, scoring methodology and its implementation, tier design, issuer and ticker mappings, reasoning text, site design, text, and the ConflictScore name and brand — is our intellectual property or our licensors’, protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose.

Filing Data is public-record government data. We claim no intellectual-property rights in the underlying filings themselves; every trade we show links to the original filing so you can verify independently. Nothing in these Terms restricts any right you have to obtain public disclosures directly from government sources.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation or attribution.

User-submitted content (score challenges and corrections)

If we build a "challenge this score" feature and you submit a correction, challenge, or other content ("User Content"), you grant us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and display it to operate and improve the Service — including incorporating your correction into our data.

We are not obligated to review, respond to, or act on any submission, and we do not guarantee any review or response time. We may decline, remove, or moderate submissions at our discretion.

You represent and warrant that you have the rights to submit your User Content and that it is, to the best of your knowledge, accurate and not unlawful, defamatory, or infringing.

Third-party services

The Service relies on Third-Party Services: Stripe (payment processing), Supabase (authentication and data hosting), and Resend (email delivery). Their own terms and privacy policies govern your relationship with them for the services they provide, and we may add, change, or replace providers as the Service evolves.

We are not responsible for the acts, omissions, outages, or policy changes of Third-Party Services, and features that depend on them may change or become unavailable as a result. See our Privacy Policy for details on the data each processor handles.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that Filing Data, Analysis, or any output of the Service will be accurate, complete, or reliable. Our Disclaimer page, which forms part of these Terms, explains the substantive limits of what the Service can tell you.

Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or relating to the Service or these Terms.

Our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amounts you paid us in the 12 months before the first relevant claim, or (b) USD 100.

Some jurisdictions do not allow certain limitations or exclusions; in those jurisdictions our liability is limited to the maximum extent the law permits.

Indemnification

You will defend, indemnify, and hold harmless ConflictScore, [COMPANY LEGAL ENTITY], and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your breach of these Terms, (c) your User Content, or (d) your violation of any law or the rights of any third party.

Disputes, governing law, and venue

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws rules.

Before starting formal proceedings, you and we agree to attempt to resolve any dispute in good faith for 30 days, beginning with written notice to [LEGAL_EMAIL].

DRAFT — any dispute not resolved informally will be settled by binding individual arbitration administered by [ARBITRATION PROVIDER] under its applicable rules; TO THE EXTENT ENFORCEABLE, YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Either party may bring a claim in small-claims court instead. This provision does not limit either party’s ability to seek injunctive relief for misuse of intellectual property.

Subject to any arbitration agreement, the state and federal courts located in [VENUE] have jurisdiction over disputes, and you and we consent to their personal jurisdiction and venue.

Termination

By you: you may stop using the Service and cancel your Subscription at any time from your account page or by contacting [LEGAL_EMAIL]. Cancellation takes effect per the billing terms above — it stops future billing but does not refund the current period.

By us: we may suspend or terminate your access at any time if you materially breach these Terms (including the acceptable-use rules), fail to pay amounts due, or if we are required to do so by law, or if we discontinue the Service. Where feasible and lawful, we will give you notice. If we terminate you for breach, no refund of the current period is due.

On termination, the license granted to you ends. Sections that by their nature should survive (definitions, intellectual property, warranty disclaimer, limitation of liability, indemnification, disputes, and general terms) survive termination.

Force majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control — including government data-source outages or changes, internet or utility failures, cyberattacks, labor disputes, war, terrorism, epidemics, natural disasters, or acts of government.

Changes to these Terms

We may modify these Terms as the Service evolves. For material changes we will give at least 14 days’ notice by email or a notice in the Service before they take effect. If you keep using the Service after the effective date, the updated Terms apply to you; if you do not agree, stop using the Service before that date.

General terms

If any provision of these Terms is found unenforceable, the rest remain in force and the unenforceable provision is modified to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms or your account without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms (with the Privacy Policy, Disclaimer, and Methodology pages incorporated) are the entire agreement between you and us regarding the Service, superseding any prior understandings.
